Sergio is a theatre production operations platform provided by Sergio Performance Ltd (registered in Northern Ireland, company number NI739006). The platform is built and operated by Hypership Ltd (NI736697) on behalf of Sergio Performance Ltd.
These Terms of Service govern your access to and use of the Sergio platform, including any associated websites, applications, and services.
2. Acceptance of Terms
By accessing or using Sergio, you agree to be bound by these Terms. If you do not agree, you must not use the platform. If you are using Sergio on behalf of a production company or organisation, you confirm that you have the authority to bind that organisation to these Terms.
3. Description of Service
Sergio is a theatre production operations platform designed for long-running productions. It provides tools for:
- Recording and managing nightly show reports
- Tracking cast and crew attendance and cover arrangements
- Managing holiday requests, allowances, and blackout dates
- Collecting anonymous wellbeing check-ins
- Providing production health dashboards and reporting
4. User Accounts and Authentication
Access to Sergio requires an account, authenticated through our identity provider, Clerk. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect any unauthorised access.
Account access is typically provisioned by your production's Company Manager. You agree to provide accurate information during the registration process and to keep your details up to date.
5. Acceptable Use
You agree not to:
- Use Sergio for any purpose other than legitimate theatre production operations
- Attempt to gain unauthorised access to any part of the platform, other user accounts, or connected systems
- Scrape, crawl, or use automated tools to extract data from the platform
- Upload or transmit malicious code, viruses, or harmful content
- Interfere with or disrupt the platform's infrastructure or other users' access
- Use the platform in any way that violates applicable laws or regulations
6. Intellectual Property
The Sergio platform, including its design, code, features, and branding, is the intellectual property of Sergio Performance Ltd. All rights are reserved. You may not copy, modify, distribute, or create derivative works based on any part of the platform without prior written consent.
Data you enter into Sergio (show reports, notes, attendance records) remains your data. We claim no ownership over your production content.
7. Data and Privacy
Your privacy matters to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms part of these Terms. By using Sergio, you acknowledge that you have read and understood our Privacy Policy.
8. Service Availability
We strive to keep Sergio available and reliable at all times. However, we do not guarantee uninterrupted or error-free access. The platform may be temporarily unavailable due to:
- Scheduled maintenance and updates
- Urgent security patches
- Circumstances beyond our reasonable control, including third-party service outages
Where possible, we will provide advance notice of planned maintenance windows.
9. Changes to Terms
We may update these Terms from time to time. When we make significant changes, we will notify you through the platform or by email and ask you to explicitly acknowledge the updated Terms before continuing to use the platform. If you do not agree with any changes, you should stop using the platform.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of Northern Ireland and the United Kingdom. Any disputes arising from these Terms or your use of Sergio shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
